These terms govern your use of Signorian. Please read them carefully. By using our services, you agree to these terms.

1. Acceptance of Terms
By accessing or using Signorian's services, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, you may not use our services.
These Terms apply to all users of the platform, including account holders, administrators, and end users of your deployed AI support agents.
2. Description of Service
Signorian provides an AI-powered customer support platform that enables businesses to:
- Train AI agents on custom knowledge bases
- Deploy embeddable chat widgets on websites and applications
- Manage customer support conversations through an AI-powered inbox
- Analyze support performance through analytics dashboards
- Integrate with third-party tools and services
We reserve the right to modify, suspend, or discontinue any part of our services with reasonable notice.
3. Account Registration
To use Signorian, you must create an account and provide accurate, complete information. You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activity that occurs under your account
- Notifying us immediately of any unauthorized access to your account
- Ensuring your account information remains accurate and up-to-date
You must be at least 18 years old and legally authorized to enter into contracts to create an account.
4. Acceptable Use
You may not use Signorian to:
- Violate any applicable laws or regulations
- Infringe on the intellectual property rights of others
- Transmit unsolicited messages (spam)
- Engage in deceptive or fraudulent activities
- Distribute malicious software or harmful content
- Attempt to gain unauthorized access to our systems or other users' accounts
- Use our AI to create or distribute misinformation
- Process sensitive personal data without appropriate safeguards and consent
We reserve the right to terminate accounts that violate these terms.
5. Subscription and Billing
Payment: By subscribing to a paid plan, you authorize us to charge your payment method on a recurring basis (monthly or annual).
Free trial: We offer a 14-day free trial for new accounts. No credit card is required for the trial. After the trial period, continued use requires a paid subscription.
Upgrades and downgrades: You may change your plan at any time. Upgrades take effect immediately; downgrades take effect at the next billing cycle.
Refunds: We offer a 30-day money-back guarantee for new subscribers. After 30 days, refunds are at our discretion.
Price changes: We will provide 30 days notice of any price changes. Continued use of the service after the price change takes effect constitutes acceptance.
6. Data and Content
Your data: You retain ownership of all data and content you input into Signorian, including knowledge base articles and conversation data.
License to us: You grant Signorian a limited license to process your data solely to provide and improve our services as described in our Privacy Policy.
Responsibility: You are responsible for ensuring you have the right to use any content you upload, and that your use of our services complies with applicable data protection laws.
AI training: We may use anonymized, aggregated conversation data to improve our AI models. We will never use your identifiable customer data to train models for other customers.
7. Intellectual Property
Signorian IP: Our platform, software, designs, and documentation are protected by intellectual property law. You may not copy, modify, distribute, or create derivative works without our explicit written consent.
Feedback: If you provide feedback or suggestions, you grant us the right to use this feedback without restriction or compensation.
Your IP: You retain all intellectual property rights in your content. Nothing in these terms transfers ownership of your content to us.
8. Service Level Agreement
Uptime target: We target 99.9% monthly uptime for Starter and Pro plans; 99.99% for Enterprise plans.
Scheduled maintenance: We will provide at least 48 hours notice for scheduled maintenance that affects service availability.
Incident response: In the event of an outage, we will provide status updates at https://app-dev.signorian.com and via email notification.
Credits: If we fail to meet our uptime target, Enterprise customers are eligible for service credits as outlined in their Enterprise Agreement.
9. Limitation of Liability
To the maximum extent permitted by law, Signorian shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business interruption.
Our total liability for any claims arising from these terms or use of our services shall not exceed the amount you paid to us in the 12 months preceding the claim.
These limitations apply regardless of the form of action and whether we have been advised of the possibility of such damages.
10. Termination
By you: You may terminate your account at any time from your account settings. Upon termination, you retain access until the end of your current billing period.
By us: We may terminate or suspend your account immediately if you violate these terms, engage in fraudulent activity, or fail to pay amounts owed.
Effect of termination: Upon termination, your right to use our services ends. We will export your data and make it available for 30 days following termination, after which it will be deleted.
11. Governing Law
These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes shall be resolved in the federal or state courts located in San Francisco, California.
For users in the European Union, these Terms do not affect your statutory rights under local consumer protection laws.
12. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by email and through an in-app notification at least 30 days before changes take effect.
Your continued use of our services after changes take effect constitutes acceptance of the updated Terms. If you do not agree with the changes, you may terminate your account.
